1. Introduction and Acceptance

Welcome to MyAnya (operated by Individual Entrepreneur - Liapota Ihor, Registration No. 2408005399, 123 Nadpilna Street, Cherkasy, 18000, Ukraine; contact: [email protected], phone: +380637418661; hereinafter referred to as "we," "our," "us," or the "Company"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("user," "you," or "your") and the Company governing your access to and use of the MyAnya mobile application, website, and all associated software, features, content, and services (collectively, the "Services"). By accessing, downloading, registering for, or using the Services in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree to these Terms, you are strictly prohibited from accessing or using the Services and must immediately cease all usage.

These Terms constitute a legally binding agreement between you and the Company. We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms at any time. Your continued use of the Services following the posting of changes will mean that you accept and agree to the changes.

2. User Accounts and Eligibility

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

The Services are not intended for use by children under the age of 13, and we do not knowingly collect personal information from children under 13. By using the Services, you represent and warrant that you meet all eligibility requirements.

3. In-App Economy: Sparks

IMPORTANT: Sparks are exclusively points of progress and bonuses within the MyAnya platform.

As you interact with the Services, you may earn, be granted, or otherwise accumulate "Sparks". You acknowledge and agree that:

• Sparks are strictly a measurement of your progress and a mechanism to unlock or access specific content within the application.
• Sparks do not constitute a "digital good", virtual currency, property, or any form of financial instrument.
• Sparks hold absolutely no real-world monetary value.
• Sparks cannot be transferred, sold, gifted, or exchanged to any other user, person, entity, or business under any circumstances.
• Sparks cannot be redeemed for fiat currency, cryptocurrencies, physical goods, or any other tangible assets from the Company or any third party.
• We reserve the sole right to manage, regulate, control, modify, or eliminate Sparks at our discretion, without liability to you.

4. Subscriptions and Payments

MyAnya offers premium features through recurring subscriptions. By selecting a premium subscription tier, you agree to pay the specified fees. Subscriptions are billed in advance on a recurring and periodic basis (e.g., monthly, annually).

Your subscription will automatically renew under the exact same conditions unless you cancel it or the Company cancels it. You may cancel your subscription renewal at any time either through your account management page or by contacting our support team. You will not receive a refund for the fees you already paid for your current subscription period, and you will continue to have access to the premium features until the end of your current subscription period.

5. License and Intellectual Property

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial purposes.

All intellectual property rights in the Services, including but not limited to software, AI models, text, graphics, logos, and audio (including Anya's voice and personality), are owned by or licensed to the Company. You may not reproduce, distribute, modify, create derivative works of, publicly display, or in any way exploit any of the content without our prior written consent.

6. AI Interactions and User Content

The core feature of MyAnya involves interacting with an AI tutor. You acknowledge that AI responses are generated automatically and may occasionally be inaccurate or unexpected.

You agree not to submit prompts, texts, or audio that are illegal, abusive, harassing, defamatory, or otherwise violate our community guidelines. We reserve the right to suspend or terminate accounts that repeatedly abuse the AI systems or engage in malicious behavior.

7. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Kyiv, Ukraine, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
